DaVinci Land is currently raising project capital for the development of our first luxury development "Emerald Estates" which is destined to become the premier private residence community in Saigon.

Issuer : A new Cayman SPV to be formed on behalf of equity investors , the SPV to own the project  (assets and cash flows )

Developer : DaVinci Land

Legal Relationship :  Management contract between the SPV owned by investors and Da Vinci Land


Amount : US$70 million (equity capital target)

Terms :

Sourcing Fee : 1% of land acquisition

Asset Management Fee : 1.5% of Committed Capital to the SPV

Development Management Fee : Costs + 1% paid during construction period only

Preferred return : a 15% preferred return to Investor (i.e.a 15% hurdle rate) , then management catch up

Performance Bonus :

If IRR 15-25% then P-fee = 25%

If IRR > 25% then P-fee =  30%

Exit via self liquidation (sales and dividend payment at end of development and project wind up
